CALIFORNIA CONSUMER PRIVACY ACT (CCPA) ADDENDUM
This CCPA Addendum governs the responsibilities of the parties with respect Your Customer
Data that (i) constitutes personal information as defined under the CCPA and (ii) is subject to the
CCPA and (iii) is processed by Us on Your behalf in the course of Your use of Services
(“Personal Information). Notwithstanding anything to the contrary, this CCPA Addendum shall
only apply and bind Us if and to the extent that You are a business as defined under the CCPA.
“CCPA” means the California Consumer Privacy Act of 2018 and its implementing regulations
(California Civil Code §§ 1798.100 to 1798.199).
1. We will not:
(a) sell the Personal Information;
(b) retain, use, or disclose the Personal Information for any purpose other than for the
specific purpose of performing the services specified in the MSA or as otherwise
permitted by the CCPA;
(c) retain, use, or disclose the Personal Information outside of the direct business
relationship between You and Us, except as otherwise permitted by the CCPA.
2. We certify that We understand the restrictions in Section 1 above and will comply with
them.
3. You acknowledge that if We receive a request to know or a request to delete from a
consumer, We may inform the consumer that the request cannot be acted upon because the
request has been sent to a service provider. For the sake of clarity, We have no obligation to act
on Your behalf in responding to a request to know or a request to delete from a consumer. If You
request Our assistance in responding to a request to know or a request to delete from a consumer
and We perform services for You in response to Your request, then We may charge You, and
You agree to pay, additional fees for said services calculated on a time-and-materials basis at
Our applicable service rates in effect at the time such services are performed.
4. The parties acknowledge and agree that the exchange of Personal Information between
the parties does not form part of any monetary or other valuable consideration exchanged
between the parties with respect to the MSA.
UPON YOUR ACCEPTANCE OF THIS CCPA ADDENDUM, THIS CCPA ADDENDUM
WILL BECOME EFFECTIVE AND FORM PART OF THE MASTER SUBSCRIPTION
AGREEMENT.
